These Terms of Service ("Terms") are a legal agreement between you ("you" or "user") and IYRA Global Services Inc., doing business as Investry AI ("Investry AI," "we," "us," or "our"). They govern your access to and use of the Investry AI application and website at investryai.app (the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Investry AI is a portfolio-intelligence application. It lets you track investment portfolios, view analytics and performance metrics, and receive AI-generated analysis of your holdings. Features vary by subscription tier.

We may add, modify, or discontinue features at any time. We will make reasonable efforts to notify you of material changes.

2. Eligibility and Accounts

You must be at least 18 years old to use the Service.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree to provide accurate information when creating your account and to keep it up to date.
One account per person, unless we approve otherwise.

3. Subscriptions and Billing

The Service offers free and paid subscription tiers. Current tiers and prices are listed at investryai.app.
Paid subscriptions are billed in advance on a recurring basis through our payment processor (Stripe). Prices are in U.S. dollars unless stated otherwise.
Your subscription renews automatically each billing period until you cancel. You may cancel at any time through your account billing portal; cancellation takes effect at the end of the current billing period.
Fees are non-refundable except where required by applicable law.
We may change subscription prices with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new price.

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
Attempt to gain unauthorized access to the Service, other users' accounts, or our systems.
Interfere with or disrupt the Service, including through automated scraping, excessive API calls, or denial-of-service activity.
Reverse-engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.
Misrepresent your identity or affiliation.
Upload or transmit malicious code, or content that infringes the rights of others.

We may suspend or terminate accounts that violate this section.

5. Investment Disclaimer — Read Carefully

Investry AI is not a registered investment advisor, broker-dealer, or financial planner, and nothing in the Service constitutes investment advice, a recommendation, or an offer to buy or sell any security.
Portfolio analytics, scores, and AI-generated analysis are for informational and educational purposes only.
AI-generated content can be incomplete, inaccurate, or outdated. Always verify critical information independently.
Market data may be delayed or sourced from third parties; we do not guarantee its accuracy, completeness, or timeliness.
Investing involves risk, including the possible loss of principal. Past performance does not guarantee future results.
You are solely responsible for your investment decisions. Consult a qualified financial professional before making investment choices.

6. Your Data

You retain ownership of the portfolio data you enter into the Service.
You grant us a limited license to process that data as necessary to operate the Service (e.g., to compute analytics and generate AI analysis).
We handle your data as described in our Privacy Policy.
You are responsible for the accuracy of data you provide. We are not liable for analytics computed from inaccurate input.

7. Intellectual Property

The Service, including its software, design, text, graphics, and branding, is owned by IYRA Global Services Inc. and protected by intellectual property laws. These Terms do not grant you any ownership rights. You receive only a limited, non-exclusive, non-transferable, revocable license to use the Service as intended.

8. Third-Party Services

The Service relies on third-party providers (including payment processing, authentication, cloud hosting, market-data vendors, and AI model providers). We are not responsible for the acts or omissions of third parties, though we make reasonable efforts to choose reliable providers.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DATA WILL BE ACCURATE OR CURRENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IYRA GLOBAL SERVICES INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR INVESTMENT VALUE, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN THOSE JURISDICTIONS OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify and hold harmless IYRA Global Services Inc., DBA Investry AI, and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

12. Termination

You may stop using the Service and delete your account at any time.
We may suspend or terminate your access at any time, with or without cause, with reasonable notice except where immediate action is required (e.g., security or legal reasons).
Upon termination, your right to use the Service ends immediately. Provisions that by their nature should survive (including Sections 5, 9, 10, 11, and 13) survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising out of these Terms or the Service will be resolved exclusively in the state or federal courts located in Orange County, California, and you consent to their jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms at investryai.app/terms with an updated "Last updated" date. Material changes will be notified via email or in-app notice at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.

15. General

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.
Severability. If any provision is found unenforceable, the remaining provisions continue in full effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
